Piedmont Inc. has given written notice pursuant to a deed dated 15 July 2009 between the Company and Piedmont Inc. under which Piedmont Inc. has the right to appoint two Directors that it wishes to nominate Ronald Alexander Robson to be appointed to the Board as its non independent representative Director. As such, Mr Robson will be appointed as a Non-Executive Director of the Company with effect from 22 January 2010, acting as a nominated shareholder representative of Piedmont Inc. (an investment vehicle of Joe Lewis). Mr Robson will stand for reappointment at the forthcoming Annual General Meeting of the Company to be held on 28 January 2010; a circular containing the additional resolution has been sent to shareholders today.
Mr Robson is currently chief financial officer of Tamar Capital Partners, a property investment and management group owned by family interests of Joe Lewis and was previously group finance director of Kenmore, a property investment and management group with £2bn of assets under management. From 2005 to 2008 he was group finance director of The Belhaven Group plc, a listed vertically integrated brewing, drink distribution and pub retailing group. Prior to that he held a number of senior finance roles including group finance director of a listed shipping and logistics group, and trained as a Chartered Accountant with Arthur Andersen.
The Company confirms the following additional information requiring disclosure in relation to Mr Robson under paragraphs 9.6.13 (2) to (6) of the Listing Rules of the UK Listing Authority:
